Health Care M&A Volume Slipped 3% in Q4:2019, According to HealthCareMandA.com

“Fourth-quarter deal volume was strong, thanks to a busy December,” said Lisa E. Phillips, editor of HealthCareMandA.com. “Heading into 2020, we expect another strong year in the healthcare market—at least until the November elections.”

Health care merger and acquisition activity essentially held steady in the fourth quarter of 2019, compared with the third quarter. The number of deals announced fell 3%, to 442, compared with the previous quarter’s 456 transactions, and was 12% lower than the 504 deals announced in the same quarter in 2018. Combined spending in the fourth quarter totaled $63.4 billion, up 22% compared with the previous quarter’s $52.1 billion. It was 47% greater than the approximately $43.1 billion reported in the same quarter in 2018, according to HealthCareMandA.com

Healthcare services transactions made up 69% of the fourth quarter’s deal volume, similar to the previous four quarters. The Long-Term Care sector once again ranked the busiest, with 110 deals and a 25% share of the quarter’s transaction total. Year-over-year, two of the services sectors posted impressive gains—Home Health & Hospice (+40%) and Managed Care (+200%). Combined spending on the services side accounted for only 38% of the quarter’s total, approximately $24 billion, based on disclosed prices.

Healthcare technology deals accounted for 31% of the fourth quarter’s deal volume. The eHealth sector was the busiest, posting 63 deals to make up 14% of the quarter’s total. Year-over-year, eHealth was the only technology sector to post an increase in deal volume, up 9% compared with the fourth quarter of 2018. Combined spending among the technology sectors was $39.4 billion.

As healthcare mergers and acquisitions go, 2019 was another good year. Preliminary data show a total of 1,774 deals announced, the second-highest on record. The total is just 7% lower than 2018’s record of 1,908 transactions.

Last year’s spending total is another story, and one for the record books. Preliminary data show $401.7 billion went to finance healthcare deals in 2019, and that’s just disclosed spending. Not only is that a record, it beat the previous record ($333.3 billion, set in 2018) by 21%.

“This sector has seen years of growth as PE firms have piled in to build national and regional platforms around addiction treatment and autism programs. It’s not surprising to see contraction after years of growth,” said Lisa Phillips, editor of The Health Care M&A Report, which publishes the data.

Activity in the behavioral health care M&A market slowed in the fourth quarter of 2019, down 21% with 15 publicly announced transactions, compared with 19 transactions in the third quarter, according to data from HealthCareMandA.com. The decline in deal volume was even more dramatic compared with the fourth quarter of 2018. Deal volume in Q4:19 was down by 46% versus the 28 deals announced a year earlier. Only one transaction disclosed a price in the quarter, for $415 million.

“This sector has seen years of growth as private equity firms have piled in to build national and regional platforms around addiction treatment and autism programs and services. It’s not surprising to see more contraction after several years of growth,” said Lisa E. Phillips, editor of The Health Care M&A Report, which publishes the data. “Autism is still the hottest commodity in the sector, but investor interest in substance abuse programs and inpatient psychiatric facilities has waned a bit.”

The sole deal to report a price was announced by Thomas H. Lee Partners. The private equity firm paid $415 million to acquire Centria Healthcare from Martis Capital and Lorient Capital. Centria is the largest provider in Michigan and operates in Arizona, California, Indiana, Massachusetts, Minnesota, New Jersey, New Mexico, Oregon, Texas and Washington. It also provides pediatric nursing and catastrophic injury care.

Discovery Behavioral Health, a portfolio company of Webster Equity Partners, was the most active acquirer in the quarter, announcing three transactions targeting companies specializing in drug and alcohol treatment programs in California (2) and Maryland (1).

USARAD Holdings announces a successful collaboration with Siemens-Healthineers on Artificial Intelligence projects

USARAD Holdings Inc., the leading US Joint Commission Accredited teleradiology and telemedicine company backed by Siemens Healthineers and several healthcare VC firms announces successful collaboration with its partner, Siemens Healthineers. The companies collaborated on the lung nodule detection part of the AI-Rad Companion Chest CT software which assists radiologists in detection of pulmonary nodules. This software was awarded the CE mark in Europe as well as 510k FDA approval and can start to be marketed as a medical product effective immediately.

Dr. Matthias Mitschke coordinated the project and worked together with Dr. Anna Jerebko and her team who oversaw the development of the lung nodule detection software. Anna and Matthias championed this collaboration which involved multiple steps. According to Siemens specifications, USARAD together with MDW developed specialized AI annotation software and radiology workflow for the project. USARAD then leveraged MDW technology to assist in obtaining over 10,000 deidentified computed tomography cases, radiology reports and annotations from its data partners. The image data as well as the clinical reports were carefully anonymized in compliance with HIPAA. Unique heterogeneous acquired CT data was obtained from over 100 imaging centers in multiple states throughout USA. Siemens Healthineers, USARAD and MDW then collaborated to oversee numerous radiologists who provided annotations in multiple phases which included providing input for an FDA submission.

Anna stated, “We are pleased to work together with USARAD on data collection for AI development. It is very important to ‘stress test’ medical imaging and computer aided detection algorithms on as much data as possible with a large variety of different acquisition protocols, scanner models and patient populations to ensure stable performance thus assessing its generalizability and for use in medical practice. The massive amount of chest CT scans were read and annotated by multiple experienced radiologists. In this manner, the performance of the AI algorithm could be benchmarked against the opinions of experts. It is a very common pitfall in AI development when an algorithm is trained and tested on a limited amount of data acquired from a single site possibly with scanner(s) from a single vendor and interpreted by only a few radiologists. This type of evaluation can lead to conclusions on algorithm results that are too optimistic and can manifest in a suboptimal performance in clinical practice. Stress-testing the AI algorithms for chest CT on a massive amount on clinical data has shown a significant improvement compared to existing standard CAD algorithms.”

Previously USARAD and Siemens Healthineers have announced a world-wide distribution partnership with USARAD services to be offered via a global cloud-based sharing and collaboration platform as part of the teamplay digital health platform. This partnership is currently being expanded to include AI collaboration and the integration with teamplay environment is ongoing. USARAD is excited to deploy this solution and other algorithms in its daily practice upon FDA approval. At the same time, USARAD plans to deploy multiple additional algorithms which are not yet FDA approved in research setting using the teamplay environment.

It is anticipated that algorithm’s outputs will become part of reporting to facilitate radiologists’ workflow with an overall anticipated significant improvement of speed and efficiency. USARAD is also excited to continue collaborating with Siemens Healthineers on multiple new AI projects.

University Health System Selects Gozio Health to Develop Mobile Wayfinding Platform


University Health System is leading the region in developing a mobile wayfinding platform to improve overall access to healthcare for patients.

University Health System has selected Atlanta-based Gozio Health to develop the system’s interactive mobile wayfinding platform. The hospital-branded mobile wayfinding and patient engagement platform will provide intuitive, turn-by-turn indoor navigation at University Hospital and its parking garage, with additional access to 28 satellite clinics and urgent care centers. The wayfinding platform will cover more than 3 million square feet of navigation.

The interactive digital platform will also give patients and visitors immediate access to physician directories, electronic medical records, and locations of cafes, pharmacies and the closest restrooms on their smartphones.

Don’t Get It Too Late or Too Early, Study Finds for Silicon Valley Orthopaedics

In a recent article in USA TODAY, the results of this study, published in The Journal of Bone and Joint Surgery, were detailed. The research suggests that for far too many patients, having a knee replacement procedure is done either too late or too soon. The team at Northwestern University’s Feinberg School of Medicine in Chicago found that 90% of patients who could benefit from the procedure waited too long to have it. Alternatively, about 25% of patients who don’t need the surgery are having it prematurely when the benefit is minimal, and they run the risk of complications. Patients with osteoarthritis in the knee should time the surgery to ensure maximum benefits if they are eligible for knee replacement.

In the article, Dr. Mark Pagnano, who is unaffiliated with the study and a professor and chairman of the Department of Orthopedic Surgery at Mayo Clinic, told USA TODAY that despite advancements in the procedure, some people that should have knee replacement surgery hold on to antiquated notions of its risks and outcomes and put off having it done. However, he also emphasized that there may be serious issues in getting the surgery too early. “There’s a sense among some people that a knee replacement will magically cure any problem that’s related to the knee. Particularly for younger, active patients, they will continue to push for a permanent fix to a problem when perhaps a surgical option is still not in their best interest,” Dr. Pagnan explained.
