MGO CPA and ELLO Capital launch a multi-media Cannabis M & A Field Guide

“Where there was once a race for market share, now companies are looking to restructure or off-load underperforming assets in an effort to survive.”

MGO (Macias Gini & O’Connell LLP), one of the fastest-growing professional services firms in the US, and ELLO Capital, a boutique investment bank focused on cannabis, hemp and impacted industries, announced the launch of the “Cannabis M&A Field Guide.” This serialized multi-media project seeks to educate cannabis and hemp operators and investors on the evolving market conditions driving mergers and acquisitions, and provides first-person insight on best practices for strategy, structuring, valuation, and other topics behind successful M&A transactions.

“The drivers behind M&A deals in cannabis and hemp have changed drastically in the last 12 months,” said Hershel Gerson, CEO and Managing Director of ELLO Capital. “Where there was once a race for market share, now companies are looking to restructure or off-load underperforming assets in an effort to survive.”

The “Cannabis M&A Field Guide” will be built on a Thought Leadership series that addresses a wide variety of issues cannabis investors and operators face. Topics will include transaction structuring, valuations, tax impact, due diligence procedures, post-deal integration, and much more. The articles will be rolled out on a weekly basis, culminating in a PDF collection of all articles and additional content, which will be released in September 2020.

The effort will also include a webinar series addressing related topics through roundtables and other discussions with market leaders.

“The future of the cannabis and hemp industries will largely be shaped by how market leaders react to today’s difficult market conditions,” added Scott Hammon, leader of MGO’s Cannabis Practice. “Our team members are on the frontlines, guiding M&A transactions and implementing best practices. Our hope is to share our insight and help investors and operators navigate the M&A process and maximize value.”
